What is Chartered Secretary



Chartered Secretaries are the natural conscience keepers for the corporate sector since they are specialists in the field of corporate governance,regulation and processes and are the eyes and ears of the board on such matter. Rule-8A companies (Appointment and Remuneration of Managerial Personnel) Rules,2014 provides that all companies are required to appoint company secretary in whole time employment.

The companies Act has considerably enhanced the role and responsibilities of company secretary both in employment and in practice. Hence a Company Secretary assumes great importance in the corporate world.

Functions of Chartered Secretary



The function of Chartered Secretary shall include:-

1.To report the Board about compliance with the provision of the Act, the rules made thereunderand other laws applicable to the Company;

2.to ensure that the Company complies with the applicable Secretarial standards issued by the Institute of Company Secretaries of India(ICSI) And approved by the Central Goveronment.

3.to discharge other duties as may be prescribed.
